Terms of Service

“ReviewRelay”, “we”, “us”, “our” means KSR Digital Solutions FZ-LLC and its operators.

“You”, “your”, “Customer” means the business owner, business entity, or authorized representative using the Service.

“End User” means your customer who scans your QR code and interacts with a rating/feedback page.

“Feedback” means any rating, text, or contact details submitted by End Users through the Service.

“Third-Party Platform” includes Google and any other platform where reviews may be posted or displayed.

ReviewRelay provides tools to help you collect customer feedback, generate QR materials, and manage your reputation workflow (for example: viewing feedback in a dashboard and receiving notifications).

You understand that Third-Party Platforms operate independently and may change policies, interfaces, review visibility, and enforcement at any time.

No guarantee. We do not guarantee any specific number of reviews, ratings, impressions, scans, or any business outcome.

You represent that you are legally able to enter into these Terms and that you have authority to bind your business to these Terms.

You agree to provide accurate, complete, and current information and to keep your account details up to date.

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account.

You agree to use the Service in compliance with all applicable laws and regulations, and in compliance with Third-Party Platform policies that apply to reviews, ratings, and customer communications.

Prohibited conduct includes (without limitation):

• Soliciting, purchasing, generating, or facilitating fake or misleading reviews.
• Offering incentives for reviews where prohibited by the applicable platform or law.
• Review gating, suppressing, blocking, or selectively discouraging End Users from leaving reviews on a Third-Party Platform.
• Harassment, coercion, or retaliation against End Users for leaving feedback or reviews.
• Uploading malware, attempting to gain unauthorized access, or interfering with Service operations.
• Using the Service to violate privacy, data protection, consumer protection, or telecom/marketing laws.

You are responsible for the content of your messaging, the placement of your QR materials, and how you request reviews or feedback.

The Service may link to or interact with Third-Party Platforms. We do not own, operate, or control these platforms.

No affiliation: ReviewRelay is not endorsed by, sponsored by, or affiliated with Google or any Third-Party Platform.

No responsibility for enforcement: You acknowledge that Third-Party Platforms may remove reviews, suspend listings, restrict features, or take other actions for any reason. We are not responsible for platform enforcement decisions or outcomes.

The Service may collect Feedback submitted by End Users. Depending on your settings and End User choices, Feedback may include a rating, text, and optional contact information.

You are responsible for ensuring that your collection and use of Feedback complies with applicable data protection and consumer laws, including providing any notices required in your jurisdiction.

We may implement retention limits (for example, automatic deletion after a fixed period) as described in the Privacy Policy or in-product settings.

Subscription fees, billing cadence, and plan details are displayed at checkout or in the dashboard. Payments are processed by Stripe (a third-party payment processor).

Auto-renewal: Unless you cancel, subscriptions renew automatically at the end of each billing cycle.

Cancellations: You can cancel at any time via the billing portal. Cancellation takes effect at the end of the current billing period unless otherwise stated.

Refunds: Except where required by applicable law, we do not provide refunds or credits for partial periods.

Payment issues: If payment fails or a charge is reversed, we may suspend features until billing is resolved.

We may modify, update, or discontinue all or part of the Service at any time, including adding or removing features.

We do not guarantee uninterrupted availability. Downtime may occur for maintenance, third-party outages, or reasons outside our control.

The Service and all related software, designs, and content (excluding your content and Feedback) are owned by ReviewRelay and protected by applicable intellectual property laws.

Subject to your compliance with these Terms and payment of fees, we grant you a limited, non-exclusive, non-transferable right to access and use the Service for your internal business purposes.

You may stop using the Service at any time. You may cancel your subscription via the billing portal.

We may suspend or terminate access to the Service (in whole or part) if we reasonably believe you have violated these Terms, engaged in prohibited conduct, or used the Service unlawfully or fraudulently.

Upon termination, your right to use the Service stops immediately. Certain provisions (including IP, disclaimers, limitation of liability, and indemnity) survive termination.

“As is”: The Service is provided on an “as is” and “as available” basis, without warranties of any kind, whether express, implied, or statutory.

No guarantee of outcomes: We do not warrant that your use of the Service will increase review volume, improve ratings, prevent negative reviews, or avoid platform enforcement actions.

Third parties: We disclaim responsibility for Third-Party Platforms, third-party services, outages, or changes that affect your use of the Service.

To the maximum extent permitted by applicable law, ReviewRelay will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, goodwill, data, business opportunities, or reputation.

Liability cap: To the maximum extent permitted by applicable law, our total liability for any claim arising out of or relating to the Service or these Terms will not exceed the total fees you paid to ReviewRelay for the Service in the three (3) months immediately preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations; in that case, limitations apply to the fullest extent allowed.

You agree to indemnify, defend, and hold harmless ReviewRelay (including KSR Digital Solutions FZ-LLC and its directors, officers, employees, and contractors) from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to:

• Your use of the Service;
• Your breach of these Terms;
• Your violation of any law or Third-Party Platform policy;
• Your communications with End Users or the content of your messages;
• Any dispute between you and an End User or Third-Party Platform.

These Terms are governed by the laws of the United Arab Emirates, as applicable in the Emirate of Ras Al Khaimah, without regard to conflict of law rules.

Nothing in this section limits rights you may have under applicable consumer protection laws (if any apply to you).

We may update these Terms from time to time. If we make material changes, we may provide notice through the Service, by email, or by updating the “Last updated” date above.

Your continued use of the Service after the effective date of changes constitutes acceptance of the updated Terms.
